This initial agreement is for a period of twelve months from the date mentioned above.It may be terminated by either party with prior written notice given at least thirty days beforehand to the above mentioned addresses. All payments due at this time to either party must be regularised before the end of the period of written notice. After a period of twelve months the agreement will be automatically renewed unless either party specifies otherwise, again by written notice thirty days prior to end of agreement.
Responsibility of both parties:
I.C.C. will be responsible for providing the services described on its web site and in its brochures.I.C.C. agrees to keep the agent informed and to submit to the agent any additional I.C.C. products or changes to products such as prices, dates, etc.
The agent agrees to be responsible for the sales and marketing of I.C.C. products. The agent will also be responsible for the development and distribution of marketing materials within the area of sales. Although I.C.C. will supply a limited number of brochures and other material as well as use of its web site without additional cost to the agent. All new material for marketing or sales must be submitted by either party at least thirty days before publication.The agent agrees that it will comply with all applicable laws of all applicable juridications, including, without limitation, those relating to the protection of intellectual property, export restrictions, consumer protection and taxation. I.C.C. disclaims all liability for any of these matters. Furthermore the agent will not hold I.C.C. responsible and I.C.C.will not accept any liability for sales, marketing and promotional materials or the agent's breach of the present agreement.
I.C.C.will supply the agent with a unique code which will serve to identify the agent and all clients for I.C.C. found by the agent.
The agent will be responsible for placing orders for its customers and for processing clients payments.The agent will be entitled to a commission based either from Rate A or Rate B. These rates will be based on the prices publiced on the I.C.C. web site.
Rate A: For courses I, IE, G, GEC, CCC.
Payment on reception of payment by student(within fifteen days of reception)
1 week course for one person 10%
2 weeks course for one person 12%
Additional weeks for one person 15%
Payment based over a period of three or six months (period selected by agent):
10 - 25 people 1 week course 15% per person
25 - 55 people 1 week course 20% per person
+55 people 1 week course 25% per person
For each additional week per person add 2%. For example: 2 weeks for 1 person 12%
3 weeks for one person 14%. 4 weeks for 1 person 16%.
For course LS replace 1 week by 1 month. Additional months as scale above.
This commission will be calculated, following the signed agreement after receipt of payments by students, or over a three month period, or over a six month period.
Rate B:
Commission rates based on I.C.C. web site prices where payment is made to the agent. I.C.C. must receive payment for all courses at least two weeks before the course is due to begin.
For courses I, IE, G, GEC, CCC.
1 week course for 1 person 15%
1 week course for 10 - 25 people 20%
1 week course for 25+ People 25%
For each additional week add 2%. For example: 2 weeks course for one person 17%. 3 week course for 1 person 19%.
Agents may set their own prices. I.C.C. will pay the above rates of commission based only on the prices published on our web site and brochures
I.C.C. will confirm and expect confirmation from the agent for the amounts due or paid, for periods of two weeks, three months, or six months, beginning from the date signed on the agreement or on reception of the application form paid by the agent.
I.C.C. may change its policies and operating procedures at any time. Course or product prices may change and since this change may effect products the agent has promoted and advertised, I.C.C. agrees to give three months notice of any such changes.
The agent and I.C.C. are independant contractors and nothing in this agreement creates any partnership, joint venture, agency, or franchise or employment relationship between the parties. Agents have no authority to make or accept any offers or representations on the behalf of I.C.C. except to sell products mentioned on the I.C.C. web site or brochure.
This agreement will be governed by the laws of The United Kindom. Disputes between the two parties arising from or concerning the agreement will be referred to arbitration by the appropriate body in The United Kingdom.
This agreement constitutes the entire agreement of the parties:
If you have read, understood and agree to the agreement, please complete the form below and I.C.C. will send you two agreements by post with your agent's code and terms of payment within two weeks. One copy duly signed and dated must be returned to I.C.C. within the same period.
